The Statutes of Guangdong Association for International Friendly Contact
Section Ⅰ General Provision
Article 1 The association shall be named Guangdong Association for International Friendly Contact, abbreviated as GAIFC.
Article 2 As a regional NGO which is sponsored by well-known social activists and scholars in Guangdong province, the association shall observe the National Constitution and relevant laws, regulations and policies.
Article 3 The purpose shall be to promote people-to-people exchanges and friendly cooperation between China and the rest of the world, to enhance mutual understanding and friendship between Guangdong and other countries, to serve China’s foreign affairs, especially the social and economic development of Guangdong.
Article 4 As a member of China Association For International Friendly Contact（CAIFC）, the association shall operate in the guidance of CAIFC, Guangdong Foreign Affairs Office and Guangdong Civil Affairs Administrative Bureau.
Section Ⅱ Mission
Article 5 The association shall actively promote friendly exchanges between peoples in the fields of politics, economy, society, culture, and so on, including:
1) To receive friendly institutions and personages from other countries and organize visits abroad;
2) To promote cooperation between Guangdong’s governmental and non-governmental organizations with their foreign counterparts;
3) To research on international issues and exchange views through symposiums and publications.
4) Other international friendly contact and cooperation.
Section III Membership
Article 6 Applicants for membership shall meet all the following conditions:
1) Love the country and her people, dedicated to the cause of people-to-people friendship;
Agree with the cause of the association;
2) Have certain achievement in relative fields.
Article 7 Procedure of enrollment:
1) Submission of membership application or invitation;
2) Approval by the executive council;
3) Awarding of membership Certificate or Appointment Letter granted by the association.
Article 8 Rights of the Members of the GAIFC Council:
1) Attend the council meeting and participate in activities arranged by the association;
2) Vote and to be elected in the association;
3) Enjoy priority services provided by the association;
4) Make criticisms, suggestions and supervision to the association's work;
5) Withdraw from the association freely.
Article 9 Duties of the members of the GAIFC Council:
1) To comply with the GAIFC statutes and carry out its resolutions;
2) To safeguard GAIFC's rights and reputation;
3) To support GAIFC's work in funds or other ways;
4) To participate in activities and fulfill tasks assigned by the association;
5) To keep the secret of GAIFC and take in supervision and administration from the association;
6) To provide suggestions and proposals for GAIFC's development.
Article 10 Council members who choose to withdraw from the association shall notify GAIFC in written form and return the Certificate of membership.
Article 11 Members who violates national law or GAIFC’s Statutes might be deprived of membership by the executive council.
Section IV Structure
Article 12 The association shall be headed by honorary president, president, vice president, secrete-general. They shall constitute the leading organ of the association.
Article 13 The GAIFC Council shall serve for 5 years of office every term, its plenary meeting shall be responsible for:
1) Examine reports of the council;
2) Formulate and amend the statutes;
3) Elect the president, vice president, and secretary-general;
4) Decide on other major issues.
Article 14 The council shall convene every year with the attendance of at least two thirds of council member. Any decision shall take effect after approval by a majority vote of more than half of the attendance.
Article 15 During recession of the council, the executive council shall take over responsibilities of the association’s daily operation.
Article 16 President, vice president, secretary-general and vice secretary-general shall be natural members of the executive council. Other members of the executive council shall be elected from the council.
Article 17 The executive council shall convene upon necessary occasions with the attendance of at least two thirds of members. Any decision shall take effect only after approval by a majority vote of more than two thirds at the council meeting.
Article 18 President and vice president shall be re-elected every 5 years, while the extension of term shall be approved by a vote with more than two-thirds of council members in agreement.
Article 19 Executive vice president shall administrate daily work of the association under the leadership of the council and the president. His/her duties shall be:
1) To call and host executive council meeting;
2) To examine the execution of decisions made by the council;
3) To represent the association and sign documents;
4) To lead the implementation of annual plan;
5) Be responsible of other routine business.
Article 20 Subordinates to the council are: administrative office, liaison department, cultural exchange department and economic exchange department.
Article 21 For the development of GAIFC, the association may set up branches or departments in Guangdong province.
Section V Funds
Article 22 The association's fund shall come from:
1) Donation;
2) Governmental subsides;
3) Incomes of relative business;
4) Other legal incomes.
Article 23 The funds shall be expended for relevant business of the association.
Article 24 The financial expenditure shall be carried out strictly in accordance with related regulations.
Article 25 The funding and expenditure shall take in supervision from council members and auditing authorities.
Article 26 Upon term shift or legal representative change, financial audit shall be carried out by relevant authorities.
Article 27 The property of the association shall not be embezzled or misappropriated by any unit or individual.
Article 28 Staff of the association shall receive pay and benefits in accordance with national regulations of public institution.
Section VI Supplementary
Article 29 This Statutes has been adopted by GAIFC council meeting on Nov 9th, 2011.
Article 30 The right of interpretation of this Statutes belongs to GAIFC council.
Article 31 This Statutes takes effect since ratified by social organization administration authority.
